Contracts- Small Business- Client is Black-owned commercial cleaning company. Client has a contract with the payroll company Paychex to handle their payroll services. Paychex informed client that client was not in full compliance due to missing state and city tax ids. Paychex offered to assist with obtaining the tax ids for a fee which the client paid. It has been four months, and the tax id issue has still not been resolved and Paychex is also charging a monthly noncompliance fee. Client is seeking legal advice on the validity of Paychex’s claim of noncompliance and guidance on how it can recoup the fee that Paychex charged.
